One of the ways a foreigner can conduct business in Mexico is to form a Mexican Corporation. In order to do this you will need a permit from the Secretaria de relaciones Exteriores (SRE). SRE will do a search of existing corporations to avoid duplicating an existing name. The second step is developing the articles of incorporation. This will require the hiring of a “Notario”. The Notario is a keeper of the public records and they are licensed attorneys that have been appointed by the state. Notarios must put their approval on all property transfers, publicly recorded contracts, wills and public registry of all corporations. Once the articles of incorporation are recorded in the public records you need to get the permits from the tax department Secretaria de Hacienda y Credito Publico (SHCP); the Secretaria de Comercio (Chamber of Commerce); an import/export permit if necessary and a permit from immigration department. Additional permits and registries may be required depending on the type of business that the corporation will be conducting in Mexico. |
